1. Nature of this document
This document is an informational summary and does not, by itself, constitute a binding contract or a firm offer. Its sole purpose is to transparently explain how Lumora works, operated by Lumora Consulting S.A.S., with address at Av. Ricardo Margáin Zozaya 335, Zona Santa Engracia, C.P. 66265, San Pedro Garza García, Nuevo León, Mexico and tax ID (RFC) LCO1901296F2.
The legally binding agreement for each engagement is formalized in writing and per project, through a proposal or Statement of Work (SOW) signed by both parties. That document, together with its annexes, prevails over any statement contained in this summary or on the website.
In the event of any discrepancy between this summary and the signed SOW, the SOW shall prevail.
2. Scope and fixed-price-per-phase model
We quote per phase, not per hour. What you pay for first is Discovery: a short initial stage (typically 1 to 2 weeks) in which we understand the project, define the scope and deliverables, and propose a technical architecture.
Upon closing Discovery, we deliver a fixed-price quote for the next phase, with scope, deliverables and timelines clearly defined. This fixed price per phase gives you cost predictability and removes the uncertainty of hourly billing. The scope of each phase is documented in the corresponding SOW.
Any work outside the scope defined for a phase is treated as a scope change, in accordance with the relevant section of this document.
3. Deliverables and intellectual property
The code and deliverables are yours. We work directly in your repository (or in one that is transferred to you) from the first commit, so ownership of the work belongs to the client from day one. No black box, no hidden dependencies and no lock-in: at any point you can continue with another team.
Subject to payment of the amounts corresponding to the phase, all economic rights over the custom deliverables developed for the project are transferred or assigned to the client, on the terms detailed in the SOW. Lumora retains rights over its general know-how, internal tools, templates and pre-existing components; where these are incorporated into a deliverable, you are granted a perpetual license to use them as part of your product.
Third-party and open-source software components are governed by their respective licenses, which we document at handoff.
4. Confidentiality and NDA
We sign NDAs. We treat all information about your business, product, data and code as confidential. Before any substantive conversation we can sign a non-disclosure agreement: we have our own template that we can adapt, or we can sign your legal team's.
The confidentiality obligation is mutual and survives the end of the project, for the term agreed in the NDA or SOW. Use of your name or logo for portfolio or reference purposes will only occur with your prior authorization.
5. Senior team and ways of working
Senior only. The team assigned to your project is made up of senior people, with a dedicated PM. We do not hand your work off to junior profiles without your knowledge.
We work in sprints, with a senior squad embedded in your Slack, the repository configured and ceremonies agreed with you. We run regular demos so you see real progress, and we work on your repository so you have full visibility of progress at all times.
The specific dates, ceremonies and communication channels for each project are detailed in the SOW.
6. Warranty and post-handoff support
After a phase is delivered, we offer a warranty period during which we fix, at no additional cost, defects that deviate from the agreed scope (that is, behavior that does not match what was specified in the SOW). The length of this period is defined in each SOW.
The warranty does not cover failures arising from changes made by third parties, modifications outside Lumora, new requirements, or failures of third-party services or infrastructure. Ongoing support and maintenance beyond the warranty period can be contracted as a separate phase or recurring service.
7. Payments and billing per phase
Billing is done per phase, according to the payment schedule established in each SOW. Typically, Discovery is billed in advance and subsequent phases are structured into payment milestones tied to kickoff and intermediate deliverables.
Prices, currency, applicable taxes and payment terms are specified in the SOW. Invoices are issued in accordance with the Mexican tax regulations applicable to Lumora Consulting S.A.S.. Payments not made within the agreed terms may lead to a temporary suspension of work, as detailed in the SOW.
8. Scope changes
When a new requirement or a change to the scope defined for a phase arises, we manage it in writing. We assess the impact on timeline and price and, before executing it, provide you with a change proposal for your approval.
No change that alters scope, price or timeline is executed without your prior written authorization. This protects both your cost predictability and the project's clarity.
9. Termination
Either party may terminate the engagement in accordance with the SOW's terms, usually by written notice with the advance period indicated there. Because there is no lock-in, termination is orderly: since your code and deliverables are already in your repository, you can continue with another team without friction.
In the event of termination, work actually performed and milestones reached up to the termination date are invoiced. We carry out a reasonable handoff, including delivery documentation, as provided in the SOW.
10. Limitation of liability
To the extent permitted by applicable law, Lumora's total liability to the client arising from a project is limited to the amount actually paid for the phase in which the claim originates. Lumora is not liable for indirect or incidental damages, loss of profits, data or business opportunity.
These limitations do not apply to cases that the law does not allow to be limited, such as willful misconduct or bad faith. The specific and definitive provisions on liability limits for each project are set out in the SOW.
11. Written formalization and governing law
Every commitment is formalized in writing. Quotes, scopes, changes and deliveries are documented, and the binding agreement for each project is the SOW signed by both parties. Informal communications do not, by themselves, create contractual obligations.
Unless the SOW provides otherwise, this relationship is governed by the laws of the United Mexican States, with jurisdiction in the competent courts of San Pedro Garza García, Nuevo León. Personal data is processed in accordance with the Mexican Federal Law on Protection of Personal Data Held by Private Parties (LFPDPPP) and is governed by our Privacy Notice.
